AMENDED MEMORANDUM OF ASSOCIATION

OF

JAMSHEDPUR DIOCESAN EDUCATION SOCIETY

 

1.     NAME: The name of the society is "JAMSHEDPUR DIOCESAN EDUCATION SOCIETY" (hereafter called the 'SOCIETY')

 

2.     ADDRESS: The Registered address is: Bishop's House, Holding No.230, Church Road, Golmuri - 831003, Jharkhand.

 

3.     OPERATIONAL AREA: All over Jharkhand and West Bengal States.

 

4.     OBJECTS: The Society is an educational and charitable in nature and is not for profit organization. The objects and purposes for which the Association is established are the following:

 

A.   DIFFUSION OF USEFUL KNOWLEDGE: To diffuse Social, Religious, Secular, Scientific Knowledge and to inculcate Social, Moral and Religious values.

 

B.   CHARITABLE WORKS: To establish, manage, administer, carry on and conduct all educational and allied activities, charitable and religious works and activities associated with said institutions hitherto carried on.

 

C.   EDUCATION:

a)    To establish, conduct, manage, maintain, administer, close down, or dispose of schools, Colleges, Hostels, Education Societies that are owned by the society for the benefit of all, irrespective of religion, race, community, caste, language and social status and to have inter unit exchange of staff and finance for the betterment of the institutions under the society.

 

b)    All educational institutions established and administered by Jamshedpur Diocesan Education Society shall be minority institutions covered under Article 30(1) of the Constitution of India primarily for the benefit of Christians. However, admissions in these minority educational institutions shall be extended to others as well, irrespective of religion, race, community, language, caste, creed, colour, sex and social status etc.

RULES AND REGULATIONS

OF

JAMSHEDPUR DIOCESAN EDUCATION SOCIETY

 

01.     DEFINITION OF WORDS OR TERMS:

a.       THESE PRESENTS : In these present, unless repugnant to or inconsistent with the context, words, terms or expressions defined in Societies’ Registration Act XXI of 1860 or in any statutory modification in force at the date at which these Rules and Regulations become binding on the Association shell have the meaning so defined; and words importing the singular shall include the plural and “Vice Versa”, and words, terms, or expressions having a religious or ecclesiastical bearing shall have the meaning attributed to them in the Canon Low of the Catholic Church, particularly, the following words or terms shall bear the meanings set opposite to them respectively :-

 

b.       THE SOCIETY: Jamshedpur Diocesan Education Society, Jamshedpur.

 

c.       GOVERNING BODY: The Governing Body of Jamshedpur Diocesan Education Society.

 

d.       JAMSHEDPUR DIOCESAN EDUCATION SOCIETY: The abstract entity known as JAMSHEDPUR DIOCESAN EDUCATION SOCIETY, including the organization and properties-moveable and immovable, of the said Society, situated in Jamshedpur, Jharkhand State.

 

e.       FINANCIAL YEAR : Financial year is from 1st April to 31st March.

 

f.       GENERAL BODY : The General Body duly constituted by the Governing Body consisting of Governing Body members and three members co-opted by the President.

 

g.       OFFICE BEARERS : President, Director, Secretary and Treasurer of Jamshedpur Diocesan Education Society.

 

h.       BISHOP OF JAMSHEDPUR : The Bishop who has been duly appointed Bishop of Jamshedpur for the time being by the canonically elected Pope of Rome.

 

i.                   DIOCESE OF JAMSHEDPUR : The territory of the Catholic Diocese of Jamshedpur

 

j.        THE ACT : Societies Registration Act 21 of 1860 and Bihar Societies Registration Rules, 1965 (adopted by the State of Jharkhand and as amended by the Notification No. 726, dated 18.11.2005)

 

 

 

k.       CATHOLIC : Of pertaining to persons bodies, or institutions of that Church which regards the Pope as its Spiritual Head, or a member of such bodies or institutions.

 

l.        CANON LAW : The law of the Catholic Church.

 

02.     MEMBER : Only Priests Laity and religious belonging to and officially appointed by the Bishop of Jamshedpur to work in the Diocese of Jamshedpur.

 

a)                The Membership of the Association shall be eleven, including the Governing Body and the members shall be appointed by the President for the time being. Admission of Membership to the General Body shall be the absolute discretion of the Governing Body of the said SOCIETY. The Signature of the members along with the counter-initials of the President in the Membership Roll of the Society ‘ipso facto’ is deemed conclusive proof of such members’ appointment and admission into the Society.

 

b)      No fees, subscriptions or contribution whatsoever shall be paid by or shall be assessable on the Members of the Association as such.

 

c)       All properties, moveable and immoveable of the association shall vest in the President. All deeds, agreements, leases, re-leases, mortgages, or documents of whatsoever nature relating to shall stand in the name of JAMSHEDPUR DIOCESAN EDUCATION SOCIETY.

 

d)      The supreme control and management of the affairs and interests of the Association shall vest in the Governing Body. The term of office of the members. Except the President, shall be Five Years.

 

03.     REMOVAL OF MEMBERS:

a)                 The Governing Body may suspend, retire, or expel from the Society by a 2/3

majority any member whose continuation shall be detrimental to the objects of the Society and such action the cancellation or deletion of such signatures in the membership roll substantiated by the initials of the President shall be deemed to be conclusive proof of such member’s resignation, retirement, suspension, or Expulsion from the Society and shall debar such persons or such members from disputing or questioning the same in any Court whatsoever. In the event of any vacancy arising among the members of the Governing Body by resignation or death or transfer or removal by the Governing Body as here in before provided, such vacancy shall be filled by the President from among the members of the Society within three months from the date of the vacancy arising.

 

 

 

04.     FORMATION OF GOVERNING BODY

 

a)       There shall be a Governing Body of the Society consisting of 10 (Ten) members that is one President, Vice-president, Secretary, Treasurer, Director and 5 (five) other members and all the Governing Body members shall be elected by the General Body and the terms of office of the members shall not exceed 3 (three) years from the date of appointment/election. The Members of the Governing Body may be re-elected for further period by the General Body.

 

b)                In the event of vacancies occurring among the member of the Governing Body, such vacancy shall be filled at the time of and by the appointment to that position in the Association which carries with it “ex-officio” Membership of the Governing Body: and within fourteen days succeeding the day on which a person becomes a Member of the Governing Body, a list of the revised Governing Body, shall be filed with the Inspector General of Registration of Jharkhand within 15 days of the appointment.

 

05.     POWERS AND FUNCTIONS OF THE GOVERNING BODY

 

The Governing Body of the Association as herein Constituted shall have full power and is hereby authorized, subject to the provisions of these presents, to do, among others the following acts, matters, deeds, and things which may be delegated to the Secretary or Director of Schools or other designated person.

 

a)       To establish, maintain, manage, conduct, equip, administer, and to close down and dispose of schools, colleges, libraries, belonging to the association.

 

b)      To engage, and to remove professors, headmasters, headmistresses school masters, teachers, prefects, tutors, specialists, scientists, games masters, secretaries, accountants, clerks, watchmen, peons and others for accomplishing any of the purposes. And, if the Governing Body decides, then, to transfer the staff from one institution to another for the betterment of the institutions.

 

c)                 To the same extent as natural person might or could do, to accept or to acquire under the name of the Association moneys or properties, moveable or immoveable, by purchase, lease, mortgage, exchange, grant, easement, right, privilege, or otherwise whether by gift of the person living or by legacy, bequest, will, or foundation, or by donations in any form.

 

d)                To construct, build, operate, manage, develop, alter, repair, or demolish any type of building or construction.

 

 

e)       To borrow, receive on deposit, or raise money for corporate purposes.

 

f)       To act as the Managing Committee of or to dissolve managing committees composed of the Association alone or, together with non-members for each college, High School, or school, or other institution controlled by the Governing Body of the Association and to appoint the respective principals or Managers or Secretaries to represent the Governing Body in the ordinary day-to-day management of the said institutions.

 

g)       To subscribe or to otherwise aid, whether financially or otherwise, at its absolute discretion, charitable, benevolent, educational or other institutions within or without and whether incorporated or not, as it thinks fit.

 

h)      The president may, from time to time issue a Presidential Resolution in regard to any or all the ordinary powers granted to him.

 

06.     POWERS AND FUNCTIONS OF OFFICE BEARERS OF THE GOVERNING BODY

 

a)       Arrangements for the transaction of the day-to-day business of the Society the expenditure to be incurred thereof, the staff to be employed and the conditions of service of such employees will be decided by the Governing Body of the Society.

 

b)      The President: The President of the Association shall be the Bishop of Jamshedpur who has been duly appointed by the Pope.

 

i)       The president shall appoint members to the General Body whenever vacancies occur.

 

ii)      He shall superintend the purchase, lease, mortgage, rental or acquisition in whatsoever manner and the selling, leasing, renting out, or in alienating in whatsoever manner- of any or all immovable properties of the association and all its units.

 

iii)     He shall make inspection of the institutions of the SOCIETY ordinarily once each year and when emergencies arise, and shall examine into the needs and requirements of each institution and ­­­­­the methods employed in carrying out the objects of the Association and shall make proper adjustments if and when he considers required.

 

 

 

 

c)                 THE VICE-PRESIDENT: in the absence of President will officiate as President.

 

d)                SECRETARY: The Secretary of the Association shall be appointed by the President in consultation with the Governing Body.

 

i)                   The Secretary shall exercise all such powers and do all such acts as may be required for the proper conduct of the ordinary correspondence of the Governing Body and General Body, for the making of official reports, and for the maintenance of the registers and files of the Society. The Secretary will chair the meetings in the absence of the President or the Vice President.

 

ii)      He will be able to incur expenditure not exceeding Rs. 10,000/- (Ten Thousand) only at a time on his discretion and to incur expenditure exceeding Rs. 10,000/- (Ten Thousand) only either with the prior approval of the President or in case of emergency, he is empowered to spend but he shall later on get the approval of the President.

 

iii)     He shall submit papers and files to the Registrar General of Jharkhand of the

Society's annual activities, returns, and statements of audited accounts, which are specified in the Societies Registration Act 21 of 1860 and the Rules thereunder.

 

e)       Treasurer: The Treasurer of the Association shall be appointed by the President in consultation with the members of the Governing Body. He shall guide the institutions to maintain proper accounts and present monthly/quarterly statements to the Governing Body. He will help the member institutions to audit the accounts at the end of every financial year and present to the Governing Body.

 

f)       Director: He shall be appointed by the President for a particular term. He shall be the official representative of the President to the Managing Committees of all the institutions under the Association.

 

i)                   He shall be present for the staff selection committee meetings and interviews of all the institutions of the association. No appointment proposal shall be presented to the President without the written approval of the Director.

 

ii)      He shall inspect the school from time to time and make scrutiny of the records of every kind related to school administration, finance, properties.

 

 

 

 

iii)     He will guide the Schools/Colleges/Institutions/ Hostels concerned in matters including the maintenance of the buildings, new constructions, admission policies etc. in consultation with the President of the Society and the School Managing Committees.

 

iv)     In the case of urgent need he is authorized to make decisions in the name of the President and intimate the president for his approval.

 

07.     POWER & FUNCTIONS OF THE GENERAL BODY

 

a)       In the event of a vacancy occurring among the members of the General Body of the Association, a new member shall be appointed within a period of three months to bring the number of members to eleven. All new members shall sign the membership roll and each such signature shall be counter initialed by the President.

 

b)      The General Body of the Association shall decide the contributions to be made to the Association from each member school/college/institution yearly or monthly. The maximum amount that could be kept with the particular institution for the ordinary expenses shall be fixed by the General Body.

 

08.     MEETING OF GOVERNING BODY:

 

a)                 The Members of the Governing Body may meet together minimum twice in a year for discussion of the business of the Association, adjourn, and otherwise regulate their meetings as they may think fit.

 

b)                Chairman: The Chairman of the Meeting of the Governing Body of the Association shall be the President. if present, otherwise the Director of Education, No Chairman shall be elected.

 

c)                 Quorum: The quorum necessary for the Meeting of the Governing Body and for transaction of the business of the association shall be four.

 

d)                Majority : Questions arising at a meeting shall be decided by a majority of votes, but in case of an equality of votes, the Chairman shall have a second vote.

 

e)                 Competency : A meeting of the members of the Governing Body, for the time being, at which a quorum is present, shall be competent to exercise all authority, powers, discretions by or under the regulations of the association for the time being vested in the Governing Body.

 

 

 

f)                  In case of a difference of opinion among the members and where there is an equal division, the President shall have a right of casting a decisive vote.

 

09.     MEETING OF THE GENERAL BODY:

 

a)                The General Meetings of the Members of the Association shall be convened for the handling of such matters as are required to be determined. Such meeting shall be called at least once a year and otherwise regulate by the Governing Body. The Chairman for the General Meetings of the Association shall be the President, if present or the Director of Education. The quorum necessary for the meeting for any amendment shall be three fifth of the members.

 

b)                The secretary of Governing Body of the Society shall convene the General Body Meeting of the Society at least once a year or more as per the need of the Society and the Governing Body shall place before the General Body :-

 

i)                   The Annual Report of the Society.

 

ii)      The statement of receipts and expenditure and the balance sheet together with the report of the Auditor, duly signed by the Auditor.

 

iii)     Budget for next coming year.

 

c)       The secretary of the Governing Body of the Society shall file with the registrar within one month after the date of such General Body Meetings :-

 

i)                   An authenticated copy of such Income and Expenditure account, Balance Sheet and report.

 

ii)                A statement of the name and address and occupation of the persons who at the expiry of the financial year, were members of the Society and;

 

iii)     A declaration to the effect that the Society has been in operation during the   

financial year.

 

d)      On the written Submission and claim of 1/3 members of the General Body, supported by the agenda of claim and signature of the claimants a General Body meeting shall be called by the Secretary within 30 days. In the case when no meeting is called by the Secretary within 30 days, the members who have placed submission and claim will have a right to inform all the members of the Society and call a General Body meeting to take decision about the agenda and claim.

 

 

10.     NOTICE OF MEETINGS:

 

i.        Notice of every General Body Meeting of the Society shall be given to the  members at least 10 days before the appointed day for the meeting. The notice shall specify the day, hour, place and the agenda of the meeting and in case any amendment of a bye-law or object of the Society as contained in the Memorandum or Rules is intended to be proposed, then the notice shall contain a copy of such amendment. The notice shall be sent with Acknowledgment Due. The notice shall also be affixed to the notice board of the Society.

 

ii.       Notice of meeting shall be given by registered post or by a Service Register by obtaining the signature of the member.

 

iii.      No meeting shall take place in the absence of the Secretary except in unavoidable circumstances when the next senior most staff member will act as substitute.

 

iv.      An emergency meeting of the General Body shall be summoned in extraordinary circumstances. On such occasions, the members shall be given at least 3 days’ notice. Discussions that have taken place at the emergency meeting need to be placed before the full meeting of the General Body when it meets next.

 

v.       In case of a difference of opinion among the members and where there is an equal division, the President shall have a right of casting a decisive vote.

 

11.     SOURCE OR INCOME & BANK OPERATIONS.

 

a)                 The Association shall have its banking transactions in favour of "JAMSHEDPUR DIOCESAN EDUCATION SOCIETY". To open and to operate on current, savings, overdraft, or fixed deposit accounts with any Banks or Banks in the name of the Association upon such terms and in such manner as the Governing Body shall deem fit; and to appoint or remove those who operate such accounts.

b)                Donations and grants given by Governments or non-government organizations, public or legal bodies.

 

c)                 Incomes generated from non-profit making activities involved in the achievement of objects.

 

d)                Corpus donations will be charged to the corpus fund. surplus funds will be invested in investments approved by the income tax rules.

 

e)                 Income from investments made out of funds collected will again be charged to the funds for future utilization.

 

f)                  Fund received from the different sources will be deposited in the account in the name of Society in Mutual Funds, Nationalized Bank or Post Office.

 

g)                 Bank operations and investments instruments will have the following three authorized signatories-Treasurer, Secretary and President.

 

h)                Accounts of the Society will be maintained for the financial year commencing from April 1st and ending with 31st March.

 

i)                   Treasurer, Secretary and/or President will operate the Bank Account of the Society.

 

j)                   Verification of Accounts: The treasurer will verify the accounts and, in each account, and register he shall endorse the following declaration in token of such verification. I declare that the particulars furnished above are true and correct to the best of my knowledge and belief.

 

k)                All the deposits of the particular institution shall be organized by the Association and the amount will always remain as the credit deposit of the particular institution. The interest or profit will be added to the principal amount of the institution. The treasurer will notify the particular institution end of every financial year the total credit of every institution with details.

 

l)                   The General Body of the Association shall decide the contributions to be made to the Mother Body from each institution/school/College/Education Society yearly or monthly. The Governing Body may decide the maximum amount of finances that could be kept with each of the member, school/college/Educations Societies or institutions who belong to the Catholic Diocese of Jamshedpur.

 

m)             In case of foreign funding prior permission of the Ministry of Home Affairs, Government of India shall be obtained as per regulations of Foreign Contribution Regulation Act 2010.

 

n)                Registration on NITI AYOG Darpan Portal shall be taken within four weeks after registration of society.

 

o)                Society shall follow all applicable laws of state and central government, present or future.

 

 

 

12.     AUDIT OF ACCOUNTS

 

i)                   The account of the Society shall be maintained. regularly as per the general  effective accounting standard in the country.

 

ii)                A registered chartered accountant shall be appointed by the General Body as an auditor of the accounts of the Society. He shall have access to all the books and accounts of the Society and shall examine and receipt and expenditure account and the balance sheet and verify them with the accounts and vouchers relating thereto and shall either sign them as found by him as correct, dully vouched and in accordance with the law, or specifically report to the Society in what respect he finds them to be incorrect, un-vouched or not in accordance with the law.

 

iii)              The I.G. Registration, Ranchi shall be free to conduct the audit of account of Society on his discretion, any time by any Registered Chartered Accountant. And for this the audit fee will be incurred by the society.

 

13.     SEAL : There shall be a common seal of the Association which shall be affixed at the discretion of the Governing Body to such deeds, contracts, agreements, and official letters, documents, or statements of whatsoever nature as may require the sanction of the Governing Body. The composition of the said seal may be altered from time to time by a resolution of the Governing Body.

 

14.     AMENDMENTS IN RULES & REGULATIONS: Any amendments of the Memorandum and the Rules and Regulations will be passed by majority of the General Body with 3/5 majority. Amendments should be totally in conformity with the Societies Registration Act 21, 1860 and Jharkhand Societies Registration Rules and Regulations.

 

15.     INSPECTION OF RECORDS

 

All the records of the Society will be made available in the office of the Secretary at the registered office for inspection by any member of the Society or Government officials without any fee during the office working hours with the prior permission of the Secretary.

 

16.     LEGAL ACTION

 

The Society shall sue or be sued in the name of the Secretary and jurisdiction of the court shall be Jamshedpur, where its registered office is located.

 

17.     DISSOLUTION: If there should be a dissolution of the Association and if at that time any property or assets whatsoever should remain over after satisfaction of the debts and liabilities of the Association, the same shall not be paid or distributed among the Members of the Association, or to or among any of them, but shall be given to 'JAMSHEDPUR DIOCESAN CORPORATION', and it shall be determined by the votes of not less than three-fifth of the Members of the Association present personally at a General Meeting convened for the consideration thereof in accordance with the provisions of the Societies' Act XXI of 1860.

 

18.     OTHERS

Any matter relating to the affairs of the Society is not expressly provided for, in these by-laws or Rules and Regulations framed thereunder shall be dealt with in accordance with the provisions of The Societies Registration Act 21 of 1860 and the rules framed thereunder.
